1. Authorization.
The above-named client is engaging Uneeda Webpage as an independent contractor for the specific project of developing a World Wide Web site and/or publishing same.
2. Website package agreement.
The content of the Web pages will be supplied by the client and executed as specified by the client in the "Web Page Planning Workheet" dated _______________ which become part of this contract. We assume:
* Words of text are supplied by the client on disc.
* Photos and other misc. graphic images are supplied by client on disc.
If we supply text or graphics or scan clients images, these services are billed according to the current price schedule which is appended and constitutes part of this contract. Likewise, individual items which make up the package will be billed according to the current price schedule. The following items are NOT billed individually but are INCLUDED with the package. Amount and complexity of these included items (text, graphics, links, forms, tables, etc.), determine the variable cost of each page after the first (see price schedule):
INCLUDED:
* In person/e-mail/phone consultation ,as needed to bring the website from vision to reality. Travel and telephone long distance charges are in addition to rates quoted.
* Links to external pages.
* Colorful lines and bullets, and colored and textured background as desired.
* E-mail response link on each Web page to any e-mail address the client designates.
*Tables as needed
* Image Map or jump links for internal navigation.
3. Consulting/Training Services agreement.

The client and Uneeda Webpage agree that Consulting and/or Training services described in this contract shall be completed for the hourly fee of $25.00. Statement of work will be attached to this contract as section 4. (below).

desires from the services outlined above:
5. Changes to Submitted Text/Graphics.
We guarantee your satisfaction within the parameters laid out on the worksheet. Time required to make substantive changes to the text/graphics which are requested after the Web pages have been constructed will be billed at $25 hourly, one hour minimum.
6. ISP.
The client understands that any Internet Service Provider (ISP) services require a separate contract with the ISP of the client's choice. Uneeda Webpage can provide hosting (see below), but Uneeda Webpage does not provide dialup connections to the internet.
7. Hosting Agreement

Hosting charges must be paid in full before hosting or domain name can be obtained.
8. Completion Date.
Uneeda Webpage and the client must work together to complete the Web Site layout and content in a timely manner. We agree to work expeditiously to complete the Web Site design no later than_________________________.
9. Payment Schedule.
Fees to Uneeda Webpage are due and payable on the following schedule:
Webpage design service: 50% of estimate upon signing this contract, balance when the Web pages have been constructed according to the client's original written specifications and approved by the client. In case the client has not secured Web space on an Internet Service Provider computer by the time the Web pages are completed, the Web pages will be delivered to the client on diskette. Advertising the pages to Web search engines and updating occur only after the final payment is made. All payments will be made in US funds.
10. Assignment of Project.
Uneeda Webpage reserves the right to assign other Web designers or subcontractors to this project to insure the right fit for the job as well as on-time completion.
11. Disclaimer.
Uneeda Webpage does not warrant that the functions contained in the Client's Internet Web site will meet the client's requirements or that the operation of the Web pages will be uninterrupted or error-free. The entire risk as to the quality and performance of the Web pages and Web site is with client. In no event will Uneeda Webpage be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these Web pages or Web site, even if Uneeda Webpage has been advised of the possibility of such damages.
12. Copyrights and Trademarks.
The client represents to Uneeda Webpage and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Uneeda Webpage for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Uneeda Webpage from any claim or suit arising from the use of such elements furnished by the client.
13. Copyright to Web Pages.
Copyright to the assembled work of Web pages produced by Uneeda Webpage is owned by Uneeda Webpage . Upon final payment of this contract, all rights owned by Uneeda Webpage as to the design, graphics, and text in this Web site are assigned to the client. Rights to photos, graphics, and CGI programs which were not owned by Uneeda Webpage are limited to the client's use only; the products themselves remain the property of their respective owners.
14. Payment of fees.
In order for Uneeda Webpage to remain in business, payments must be made promptly. Delinquent bills will be assessed a $15 charge if payment is not received within 10 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency. Uneeda Webpage reserves the right to remove Web pages from viewing on the Internet until final payment is made. In the event collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by Uneeda Webpage . Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Santa Cruz County, California, and any dispute will be litigated or arbitrated in Santa Cruz County, California.

15. Sole Agreement.
The agreement contained in this "Web Page Design and Maintenance Agreement" constitutes the sole agreement between Uneeda Webpage and the client regarding this Web site. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for twelve (12) months after both parties sign this contract. Continued services after that time will require a new agreement.
16. Initial Payment and summary of total charges:

This agreement begins with an initial payment of $ __________, with a remaining balance due at or before completion of project, and prior to commencement of publishing on Uneeda Webpage Hosting Services.
